1. Who these terms apply to

These Terms of Service ("Terms") govern your use of the Huezo LLC coach portal platform — including the white-label landing page, client dashboard, and any related tools made available to you at huezollc.com or a subdomain thereof ("the Platform"). By creating an account or using the Platform, you agree to these Terms in full.

"You" or "Coach" means the individual or business entity that has registered a portal on the Platform. "Huezo LLC" means Huezo LLC, the owner and operator of the Platform.

2. Ownership of the Platform and all code

The Platform — including all software, source code, algorithms, databases, APIs, integrations, vendor relationships, affiliate arrangements, credit-building roadmaps, and infrastructure — is and remains the exclusive property of Huezo LLC. Nothing in these Terms transfers any ownership rights to you.

Your portal at huezollc.com/{yourslug} is hosted on Huezo LLC's servers. You do not receive the underlying code, application files, database schemas, or any proprietary components at any time — during or after your use of the Platform.

3. License granted to you

Huezo LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of providing your coaching clients with the LLC formation and credit-building services offered through it. This license does not include:

• The right to copy, download, reverse-engineer, decompile, or otherwise derive the source code or underlying logic of the Platform
• The right to sublicense, resell, white-label (to a third party), or distribute the Platform or any portion of it
• The right to use the Platform to build, train, or inform a competing product or service
• The right to share, disclose, or transfer your login credentials or portal access to any third party without Huezo LLC's written consent

4. Vendor relationships and affiliate arrangements

All relationships with credit-building vendors, affiliate networks, and financial partners accessible through the Platform are exclusively owned and managed by Huezo LLC. You have no right to contact, negotiate with, or independently engage these vendors on the basis of your use of the Platform.

The specific vendors available, their commission structures, and any revenue generated through the Platform's affiliate links are confidential business information of Huezo LLC and may not be disclosed to any third party.

5. Your responsibilities

• You are responsible for your own coaching practice, client relationships, and any fees you charge clients for your services.
• You may not misrepresent the Platform as your own proprietary software when marketing to clients.
• You may not use the Platform for any unlawful purpose or in any way that could damage Huezo LLC's reputation or business relationships.
• You are responsible for maintaining the security of your account credentials.

6. Your course revenue

Revenue you collect from your coaching clients through your own Stripe or PayPal accounts is yours entirely. Huezo LLC does not take any portion of your course revenue and has no visibility into your payment accounts.

7. Referral bonuses

If you refer another coach to the Platform and that coach's first client completes the credit-building program, Huezo LLC may pay you a referral bonus at its sole discretion. Referral bonuses are not guaranteed, may be modified or discontinued at any time, and are subject to the referred coach maintaining an active account in good standing.

8. Termination

Huezo LLC may suspend or terminate your access to the Platform at any time, for any reason, with or without notice. Upon termination:

• Your license to use the Platform immediately ends.
• Your portal URL and slug may be reassigned.
• Client data stored within the Platform remains the property of Huezo LLC.
• Any unpaid referral bonuses accrued prior to termination will be paid out on the next regular payment cycle, provided your account was in good standing.

You may stop using the Platform at any time. There is no cancellation fee.

9. No warranty

The Platform is provided "as is" without warranty of any kind. Huezo LLC does not guarantee uninterrupted availability, specific credit outcomes for your clients, or any particular affiliate revenue.

10. Limitation of liability

To the maximum extent permitted by law, Huezo LLC's total liability to you for any claim arising from your use of the Platform is limited to the total amount Huezo LLC has paid you in referral bonuses during the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of the state in which Huezo LLC is organized, without regard to conflict of law principles.

12. Changes to these Terms

Huezo LLC may update these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms. The date at the top of this page reflects the most recent revision.
